Governance and Compliance update: Identity Verification for Directors and PSCs

Important new legal requirement
Companies House has introduced a new verification process. Identity verification will become compulsory for new and existing directors, people with significant control (PSCs), anyone acting on behalf of a company and other registration types e.g. members of a Limited Liability Partnership (LLP). From 8 April 2025, individuals will be able to voluntarily verify their identity.

How to verify your identity
There are 3 ways to prove your identity:

  1. with the GOV.UK ID Check app
  2. by answering security questions online
  3. at a Post Office that offers ‘in branch verification’

The method you use will depend on your device, if you have photo ID, and what type of photo ID it is.

Receiving your Companies House personal code:
Upon successful verification, you will be issued with a unique personal code by Companies House. This code is essential for all filings with Companies House. Keep it safe.

Consequences of Non-Compliance:
• Financial penalties
• Restrictions on filing company documents including accounts and confirmation statements
• Inability to register new companies, appoint directors and PSCs
• Potential legal action
